1. Service Description
Maya is a voice AI widget for business websites. It lets website visitors speak naturally to an AI assistant — getting answers about the business, its services, hours, and pricing — and optionally captures leads on the business’s behalf.
Maya is a business-to-business (B2B) SaaSproduct. The entity buying a Maya subscription (“Business Customer” or “you”) is a business, not a consumer. Maya is installed on the Business Customer’s website and used by that website’s visitors (“End Users”).
MyTech Upgrade has no direct relationship with End Users. Business Customers are responsible for how End Users experience Maya on their site.
2. Eligibility
You must be at least 18 years old and have the legal authority to bind your business to these Terms. By accepting, you confirm you meet both requirements.
3. Acceptable Use
Please don’t use Maya to:
- Facilitate any illegal activity — fraud, harassment, discrimination, or anything else that’s unlawful.
- Impersonate a person, business, or government entity.
- Scrape Maya’s AI responses, system prompts, or knowledge to build a competing product or train a competing model.
- Reverse-engineer or decompile the underlying AI model, voice pipeline, or system architecture.
- Overload, stress-test, or DDoS our infrastructure.
- Collect sensitive personal data (health, financial, biometric) from End Users via Maya without a valid lawful basis and appropriate safeguards.
- Violate any applicable law, regulation, or third-party right.
If a violation poses an immediate legal or reputational risk, we may suspend or terminate the account without prior notice.
4. Business Customer Obligations
As a Business Customer, you are responsible for:
- Legal basis for data collection:Making sure you have a valid lawful basis (consent, legitimate interests, or another GDPR basis) for processing your website visitors’ data through Maya.
- Privacy notice: Telling End Users — in your own privacy policy — that Maya is in use and that voice and contact data may be processed.
- Knowledge base accuracy: Making sure the information you give Maya (website content, custom prompts, uploaded documents) is accurate, lawful, and not misleading.
- Credential security:Keeping your API keys and dashboard login secure. You’re responsible for everything that happens under your account.
- Sector-specific compliance:Maya is a general-purpose tool. If your sector has specific rules (healthcare, finance, etc.), you’re responsible for making sure Maya’s use meets those requirements.
5. Data Controller / Processor Roles
Data protection responsibilities under GDPR are allocated as follows:
MyTech Upgrade — Data Controller
- Business Customer account data
- Billing and payment records
- Platform usage analytics
Business Customer — Data Controller
- End User names, emails, phones (leads)
- End User conversation data
- Any data captured by Maya on their site
Where MyTech Upgrade processes End User data on a Business Customer’s behalf, it acts as a data processor. Our Data Processing Agreement (DPA — available on request) applies and is incorporated into these Terms. Business Customers on paid plans can request a countersigned DPA at legal@mytechupgrade.com.
6. Pricing & Billing
Current plans (EUR, excluding applicable VAT):
- Connect — €299 / month: 1 website, lead capture, multilingual customer service
- Booking — €499 / month: everything in Connect + calendar booking (most popular)
- Reception — €799 / month: phone integration, WhatsApp & email automation, full CRM
Billing: Subscriptions are billed monthly and auto-renew on the same date each month via Paddle, our Merchant of Record, unless cancelled before the renewal date.
Cancellation:Cancel any time from your dashboard. You keep access until the end of the billing period — we just don’t charge you again.
Refunds:We don’t offer refunds for months already used. Cancel before the next billing date and you won’t be charged.
VAT: Added where required under EU VAT rules. EU businesses can provide a VAT number to receive reverse-charge invoices.
Failed payments:We’ll retry for 5 days. If unresolved, your account may be suspended until the payment method is updated.
7. Service Level Agreement (SLA)
We target 99.5% uptime for the Maya widget API and dashboard, measured monthly — excluding:
- Scheduled maintenance (announced at least 24 hours in advance).
- Force majeure (natural disasters, war, widespread internet outages).
- Third-party outages beyond our control (Supabase, Google Cloud, Vercel).
If monthly uptime falls below 99.5%, affected paid customers can request a service credit of 10% of their monthly feefor each percentage point below the target, up to one month’s fee. Credits must be requested within 30 days of the incident and are the sole remedy for downtime under these Terms.
8. Intellectual Property
What’s ours: Everything in Maya — the widget, dashboard, AI pipeline, brand, and documentation — is the exclusive property of MyTech Upgrade. These Terms give you a limited, non-exclusive, non-transferable licence to use Maya on your own website(s) for the duration of your subscription.
What’s yours: Your knowledge base content, custom prompts, and business information stay yours. You grant us a limited licence to use that content solely to operate Maya on your site.
AI-generated responses: To the extent permitted by applicable law, MyTech Upgrade does not assert copyright in AI-generated responses produced by Maya. You may use them freely in your business context — but you remain responsible for their accuracy.
9. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claim is capped at the greater of (a) the total fees you paid us in the 12 months before the event that gave rise to the claim, or (b) €100.
- We’re not liable for indirect, consequential, or punitive damages — including lost profit, revenue, data, or business opportunity — even if we were aware of the risk.
- We’re not responsible for inaccurate AI responses where the inaccuracy came from content you provided or from AI model limitations outside our control.
Nothing here limits liability for death or personal injury caused by negligence, fraud, or any liability that can’t be excluded under Irish or EU law.
10. Termination
You can leave any time — cancel from the Maya dashboard. See Section 6 for billing consequences.
We can terminate your accountimmediately if you materially breach these Terms (including acceptable use violations), or with 30 days’ notice for any other reason. Operational data (conversations, leads) will be deleted within 30 days of termination. Billing and account records are retained for 7 years as required by EU tax and accounting law.
On termination: Your right to use Maya ends. You can request a data export before your account closes.
11. Governing Law & Disputes
These Terms are governed by the laws of Ireland. Any dispute will first go through a 30-day good-faith negotiation period. If unresolved, disputes go to the courts of Ireland — except that we can seek injunctive relief in any competent jurisdiction to protect our intellectual property.
If you’re a consumer (not a business), mandatory consumer protection rights under your local law are not affected by these Terms.
12. Changes to These Terms
We may update these Terms. Material changes will be emailed to the address on your account at least 14 days before they take effect. Continuing to use Maya after the effective date means you accept the updated Terms. If you don’t, you can cancel before the date without penalty for the remainder of your paid period.
